SixFour3 Release and Waiver of Liability

RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNIFICATION, AND AGREEMENT TO BE RESPONSIBLE FOR MINORS AND GUESTS


PLEASE READ CAREFULLY. THIS IS A LEGAL DOCUMENT THAT AFFECTS YOUR RIGHTS.


By checking the box indicating your agreement, clicking “I Agree,” creating an account, or entering a SixFour3 facility, you acknowledge that you have read, understand, and electronically accept this Release and Waiver of Liability, Assumption of Risk, and Indemnification Agreement (“Agreement”). You agree that this electronic acceptance constitutes a legally binding signature, equivalent to a handwritten signature.


SIGNER CAPACITY & ELECTRONIC ACCEPTANCE


By electronically accepting this Agreement, I acknowledge and agree that:


  • If I am an adult participant, I am agreeing on my own behalf.
  • If I am a parent or legal guardian, I am agreeing on behalf of my minor child(ren).
  • If both apply, I am agreeing in both capacities.
  • I affirm that I am legally authorized to enter into this Agreement in the capacity in which I am accepting it.


1. DEFINITIONS & SCOPE OF ACTIVITIES


In consideration of being permitted to enter, use, observe, or participate in any way in SixFour3 LLC programs, services, events, training, instruction, self-service activities, fitness programs, or use of any SixFour3 or SF3 Studio facilities, equipment, technology, or services (collectively, the “Activities”), I agree on behalf of myself and any minor(s) or guest(s) I bring, invite, or allow to participate, as follows:


Activities include, but are not limited to:


  • Softball training, hitting, pitching, catching, fielding, and related drills
  • SF3 Studio fitness, strength, conditioning, mobility, recovery, group classes, self-guided workouts, and instructor-led sessions
  • Use of cages, turf, fitness equipment, weights, resistance tools, cardio equipment, recovery devices, accessories, and training aids
  • Use of software, kiosks, booking systems, digital interfaces, instructional content, and connected technology
  • Participation in camps, clinics, events, leagues, competitions, parties, and open facility use
  • Observation, spectating, waiting, or being present in any SixFour3-operated or participating location


2. ACKNOWLEDGMENT OF PHYSICAL CONDITION & RESPONSIBILITY


I acknowledge and represent that:


  • I am physically and mentally capable of participating in the Activities.
  • Any minor(s) or guest(s) under my supervision are physically and mentally capable of participating.
  • I have no medical or physical condition that would prevent safe participation, or I voluntarily choose to participate despite such condition.
  • I will immediately discontinue participation if conditions appear unsafe.


3. ASSUMPTION OF RISK


I FULLY UNDERSTAND AND VOLUNTARILY ACCEPT that participation in the Activities involves inherent and foreseeable risks, including but not limited to:


  • Serious bodily injury, permanent disability, paralysis, or death
  • Slips, falls, collisions, impacts with people, equipment, balls, bats, weights, or surfaces
  • Muscle strains, sprains, tears, fractures, overexertion, dehydration, dizziness, or cardiac events
  • Equipment malfunction, breakage, or misuse
  • Software, booking, or technology errors
  • Exposure to contagious illnesses or communicable diseases
  • Risks arising from the actions or inactions of other participants, guests, staff, or third parties
  • Risks associated with the condition, layout, or use of the premises


I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS and accept full responsibility for any injury, loss, or damage to myself, my minor(s), or my guest(s).


4. RELEASE OF LIABILITY


I hereby RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE:


SixFour3 LLC, SF3 Studio, their franchisees, affiliates, parents, subsidiaries, successors, assigns, members, managers, officers, directors, employees, contractors, volunteers, instructors, other participants, sponsors, advertisers, and any owners or lessors of premises where Activities occur (collectively, the “Released Parties”)


from any and all claims, demands, damages, or liabilities arising out of or related to participation in the Activities, including claims based on negligence, to the fullest extent permitted by law.


5. INDEMNIFICATION & HOLD HARMLESS


I agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from any claim, demand, lawsuit, cost, expense, or liability (including attorneys’ fees) arising from:


  • My participation
  • The participation of any minor(s) for whom I am responsible
  • The participation of any guest(s) I bring, invite, or allow to enter or participate
  • Any breach of this Agreement by me, my minor(s), or my guest(s)


6. RESPONSIBILITY FOR GUESTS AND MINORS


(CRITICAL PROVISION)


I expressly acknowledge and agree that:


  • I am fully responsible for any guest(s) or minor(s) I bring into a SixFour3 facility, whether or not they have created an account, checked a box, or otherwise agreed to SixFour3’s terms.
  • This Agreement applies to all such individuals as if they had personally agreed.
  • I accept full legal and financial responsibility for their conduct, supervision, injuries, damages, and any claims they may assert against SixFour3 or the Released Parties.


7. EMERGENCY MEDICAL AUTHORIZATION


In the event of an emergency, I authorize SixFour3 and its representatives to obtain emergency medical treatment for me and/or my minor(s)/guest(s) at my expense. I understand SixFour3 has no obligation to provide medical care.


8. PHOTO, VIDEO, AND MEDIA RELEASE


I grant SixFour3 and its successors and assigns the irrevocable, perpetual, royalty-free, worldwide right to photograph, record, use, reproduce, modify, and publish my likeness and that of any minor(s) under my care for lawful business purposes, without compensation or further approval.


9. COMMUNICABLE DISEASE ACKNOWLEDGMENT


I acknowledge that participation may increase the risk of exposure to contagious illnesses and voluntarily assume all related risks.


10. GOVERNING LAW & VENUE


This Agreement shall be governed by the laws of the state in which the applicable SixFour3 location operates. Any dispute shall be brought exclusively in the courts of that state and county.


11. SEVERABILITY & ENTIRE AGREEMENT


If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties.



By checking the acceptance box or otherwise electronically agreeing, I confirm that:


  • I have read and fully understand this Agreement
  • I understand that I am waiving substantial legal rights
  • I agree voluntarily and without coercion
  • My electronic acceptance is intended to be legally binding



(ONLY APPLICABLE IF ACCEPTING ON BEHALF OF A MINOR)


By electronically accepting this Agreement, I certify that I am the parent or legal guardian of the minor participant(s), that I consent to their participation, and that I agree to all terms of this Agreement on their behalf and on my own behalf.
